ARTICLE I NAME AND PURPOSE - The name of this organization shall
be the Meadow Park Men's Golf Club.
- The purpose of this organization shall be to arrange for and conduct tournaments
for
members in good standing, to promote good fellowship among it's members and to promote the best interests
of golf in the community.
ARTICLE II MEMBERS
- Members of
this club in good standing shall be men who have attained the age of eighteen
(18) and have paid their dues for the current
year. - Junior members of this club in good standing shall be boys who have not attained the age
of eighteen
(18) by April 1 of the current year.
ARTICLE III OFFICERS
- The
club, at it's annual meeting, shall elect a President, "Vice President, Secretary,
Treasurer, and three (3)
members in good standing as directors. - The immediate past President, President, Vice President, Secretary, Treasurer,
and nine
(9) directors shall constitute a Board of Directors. No Board of Directors business shall be transacted
unless a quorum of five (5) members of the Board are present. - The President, Vice President, Secretary and Treasurer
shall be elected for a term of one
(1) year. Directors shall be elected for a term of three (3) years. - The President,
Vice President, Secretary d Treasurer shall not serve more than two (2)
consecutive terms unless the Board of Directors
grants an extension. No Director shall succeed himself in office. - The President, Vice President, Secretary and
Treasurer and newly elected directors shall
take office at the first ofthejegularly scheduled meetings of the Board of
Directors following their election. - The President, Vice President, Secretary and Treasurer shall conduct the
business and
carry out the purposes of the club subject to the direction and approval of the Board of Directors.
- One member of Meadow Park management may sit in on the Board of Directors as an
advisor, without voting privileges.
ARTICLE IV DUES - The Board of Directors, at the meeting
to be attended by both the incoming and
outgoing Board members, shall determine the annual dues for members and juniors
for the following year.
ARTICLE V BY- LAWS
- The Board
of Directors may adopt such by-laws as may be necessary to conduct the
business and carry out the purposes of the club.
ARTICLE VI AMENDMENTS
- To be effective, proposed amendments
to the constitution shall be submitted in writing
to the Board of Directors. The Secretary shall give notice of the proposed
amendment to each member thirty (30) days prior to a general membership meeting, at which meeting, with or without
change, shall be voted on.
ARTICLE VII MEETINGS
- The
meetings of the members shall be scheduled by the Board of Directors.
- The Board of Directors shall hold a regularly
scheduled meeting not less than once each
month unless canceled by a majority vote of the Board. No more than two (2) consecutive Board meetings shall be canceled. - The annual meeting shall be the scheduled meeting for the members
for the month of
November. - A quorum for the conducting of business at the normal meeting shall be not less than
fifteen (15) members, not including members of the Board of Directors.
ARTICLE
VIII VOTING
- All matters shall be decided by a majority vote.
- No candidate for office shall
be declared elected unless he has received a majority vote.
- If more than one ballot is required in the electing of
a candidate for office, after the first
ballot, the balloting shall be the three (3) candidates receiving the highest
number of votes on the first ballot: and after the second ballot, the balloting shall be limited to two (2) candidates
receiving the highest number of votes on the second ballot. - Voting shall be by, ballot on the election of candidates
for office, amendments to the
constitution, and when requested by ten (10) or more members.
ARTICLE IX COMMITTEES
- The President shall, each year, with the approval of the Board of
Directors, appoint
chairmen for committees necessary to carry out the purposes of the club. - The President, with
the advice and consent of the Board of Directors, shall appoint such
committees deemed necessary to conduct the activities
of the Meadow Park Men's Golf Club. - The Board of Directors shall have the authority to hire and compensate
handicap services.
- The Board of Directors shall appoint a committee of two (2) with one (1) alternate, to
represent
Meadow Park Men's Golf Club in T.G.A, affairs. - A nominating committee consisting of the Directors who are in
their second year of term
of office, and the immediate past President, shall nominate one or more candidates for each
office to be filled at the annual meeting and additional nominations may be made by the members. - No candidate
shall be nominated without first consenting to serve if elected.
ARTICLE X VACANCIES - Any vacancy in the Board of Directors shall be filled by action of the Board of Directors.
- The filling of an unexpired term of less than one (1) year shall not be deemed a term of
office. - In
the event any member of the Board of Directors absents himself from three (3)
consecutive meetings of the Board of Directors,
without excuse, his office shall be deemed forfeited.
ARTICLE XI CONDUCT If any club member shall commit any act which reflects discredit or disrepute to the Meadow Park Men's Golf
Club or shall refuse or neglect to comply with the rules and regulations adopted by the Board of Directors or elected
officers, that member may be subject to suspension or exclusion under the following procedures: - That member
must be notified in writing, with the charges or compliant clearly stated, and
setting a time and place, at least ten
(10) days subsequent, to allow that member a fair and impartial hearing before the Board of Directors. - Any action
taken (suspension or expulsion), must be approved by a 2/3 majority of a legal
quorum of that Board of Directors and
written notice thereof provided to the member by the Meadow Park Men's Golf Club Secretary.
